Business customers only
Last updated: October 2026
Who this offer is for
This offer is addressed exclusively to businesses, self-employed people, public bodies and other organisations acting in the course of a trade, business or profession. It is not available to consumers.
This notice appears wherever a purchase is decided or changed, and it is not a technical barrier. RateLoop does not attempt to detect a customer's legal form from their behaviour. Instead, before an order is placed, the person ordering states the company they order for and confirms the capacity they order in.
The separate confirmation
The company or organisation name is a required field. The business-capacity confirmation is a separate checkbox with nothing else in it: it is never combined with accepting these terms, the privacy notice, or any other statement. Its wording is:
I confirm that I am ordering in the course of a trade, business or profession and not as a consumer, and that I am authorised to order for the company named above.
RateLoop records each confirmation with the date and time it was given, the purchase-relevant point it was given at, the account that gave it, the company named, and the exact wording that was on screen. If the wording changes, an earlier confirmation is not carried over: the current text is shown again and confirmed again.
Consumers are excluded
Contracts are concluded only with customers who are not consumers within the meaning of section 13 of the German Civil Code. The statutory provisions on consumer contracts and on distance contracts, including the consumer right of withdrawal, do not apply. If someone orders as a consumer despite this notice and the confirmation, RateLoop may terminate the contract and end access.
Input errors
Between parties who are not consumers, the duties in section 312i(1) sentence 1 numbers 1 to 3 and sentence 2 of the German Civil Code may be excluded by agreement, and the parties agree to exclude them. RateLoop therefore owes no obligation to provide technical means for recognising and correcting input errors before an order is placed, no separate electronic confirmation of receipt, and none of the related information duties.
An order summary is still shown before an order is placed, and the customer can go back and change it. That is a product decision rather than an obligation, and no right arises from it.
Tax and business information
Hawig Ventures UG (haftungsbeschränkt) uses Germany's small-business VAT exemption (Kleinunternehmer, § 19 UStG) and currently has no VAT identification number. This does not determine the tax treatment of cross-border supplies.
A customer's VAT identification number is optional. Business capacity, billing identity and the applicable tax treatment are checked separately. A VAT number alone does not establish eligibility to buy.
Supplied EU VAT numbers are checked asynchronously. An unanswered request is recorded as unanswered, not invalid. Invoice use may wait for confirmation. Qualified BZSt checks require our own VAT identification number and are unavailable without it; VIES can check validity but does not replace qualified confirmation.
Applicable law and courts
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. Where the customer is a merchant, a legal person under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contractual relationship is the registered seat of the operator. RateLoop may also sue at the customer's general place of jurisdiction.
Where these business terms differ from the RateLoop terms on who may buy and on the exclusions above, these business terms apply.
